Corporate Lawyer
As a Corporate Lawyer at Codekeeper, you will combine high-caliber legal craftsmanship with the agility of a startup environment. In this pivotal role, you’ll ensure our cutting-edge software escrow services meet the highest legal standards while advising clients on their implementation.
Acting as both an in-house counsel and a client-facing advisor, you will draft and negotiate key agreements, navigate regulatory requirements, and help clients integrate our solutions into their risk management strategies. This is not a traditional law firm position – you’ll be working in a tech-driven, remote team where your expertise in Dutch corporate law and civil litigation directly contributes to innovation and client success.

Role Description
As a Corporate Lawyer you will play a pivotal role in supporting our clients’ legal needs while ensuring their success with our services. You will provide expert advice on corporate law matters, draft and review legal agreements, and represent client interests in negotiations or court proceedings when required. This role serves as a critical link between Codekeeper and our clients, ensuring compliance with Dutch legal standards and enhancing client satisfaction and retention.
Key Responsibilities
Legal Documentation & Contracts
Draft, review, and update a variety of legal documents, including software escrow agreements, service contracts, NDAs, and general terms and conditions, ensuring they are clear and enforceable.
Tailor contract terms to meet client requirements while protecting Codekeeper’s interests, and oversee the execution of agreements through to completion.
Client Advisory & Support
Serve as a trusted legal advisor for our clients, guiding them through our escrow contract terms and addressing any questions or concerns about legal implications.
Work closely with our Customer Success and Sales teams to help prospective and existing clients understand how Codekeeper’s solutions fit within their legal and compliance frameworks, providing counsel on customizing solutions to their needs.
Regulatory Compliance & Risk Management
Monitor developments in relevant Dutch and EU laws/regulations (e.g. DORA, NIS2) that affect software continuity and escrow services, and advise the company on necessary measures to stay compliant.
Ensure that Codekeeper’s practices and contracts align with applicable regulations and industry standards, mitigating third-party risks in business operations, and maintaining our reputation for legal integrity.
Dispute Resolution
Use your civil litigation experience to manage any legal disputes or escrow release proceedings that may arise. This includes drafting legal positions, coordinating with external counsel, and representing or advising the company in negotiations, mediation, or litigation if a client/supplier conflict escalates.
Develop strategies for conflict resolution that protect the interests of our clients and Codekeeper, striving for solutions that uphold our service commitments and legal obligations.
Internal Legal Affairs
Provide general legal counsel to Codekeeper’s leadership on corporate matters such as corporate governance, partnership agreements, procurement contracts, and employment law issues as needed.
Develop and refine internal policies (e.g. compliance, data protection, intellectual property) to ensure our operations and product development comply with Dutch law and relevant international standards.

What We Are Looking For
We seek an experienced, forward-thinking legal professional who can seamlessly integrate into our innovative environment. The ideal candidate will have:
Dutch Bar admission: You are a licensed advocate registered with the Netherlands Bar Association (Nederlandse Orde van Advocaten, NOvA), eligible to practice law in the Netherlands.
Corporate law & litigation experience: Several years of hands-on experience in Dutch corporate law and civil litigation, with a strong grasp of contract law and procedural law for civil disputes. You know how to draft and negotiate complex agreements and proven courtroom experience in corporate litigation or dispute resolution.
Client-focused advisory skills: Ability to translate legal jargon into practical advice for clients and colleagues. You can inspire confidence and clearly explain legal concepts to non-lawyers, facilitating smooth client engagements.
Tech affinity: Comfortable with digital workflows and LegalTech tools. Prior experience in a tech company or with legal technology (e.g. document automation, cloud collaboration) is a plus, and you embrace the efficiency that technology brings to legal work.
Adaptability and business mindset: Enthusiasm for working in a startup-like, agile setting.
