Description
To provide legal advice and general legal support to Glory Global Solutions in the EMEA* region covering corporate and commercial matters, identifying and arranging appropriate local legal support. Supporting the General Counsel - EMEA and external lawyers to support top-line growth and bottom-line efficiencies within the expanding EMEA region.
- EMEA direct offices at the date of posting consisting of Austria, BeNeLux, France, Germany, Ireland, Netherlands, Poland, Portugal, Spain, Switzerland, Turkey and UK.
Key Responsibilities
Managing drafting, evaluation & negotiation through to execution of a variety of commercial agreements, review of supplier and customer proposed terms and conditions working closely with the EMEA country teams and General Counsel - EMEA to provide comprehensive legal support across the region. Support local and group management to ensure company products and services are offered with appropriate, competitive terms and conditions.- Serve as the legal point of contact for internal and external customers on contractual matters, ensuring timely review and approval / reconciliation of variations. Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects.
- Train employees as required on core governance and compliance matters, procedures, group policies and initiatives.
- Monitor compliance by company employees with established procedures to identify areas of recurrent pressure or friction for improvement opportunities.
- Work with Finance teams to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies, export controls etc.
- Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.
- Handle on-going commercial issues and change management, monitor transaction compliance (milestones, deliverables, invoicing etc) and support contract close-out, extension or renewal.
- Perform pre-litigation work to minimize risks and maximize legal rights, consulting with external counsel on behalf of the business where required.
- Manage various projects and deadlines, advise Regional and Country leadership and teams on contract status, legal risks and business terms of key projects and customer transactions.
- Provide assistance with strategic partnership deals, and mergers and acquisitions.
- Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Keep abreast of legislative changes that may affect GGS entities within the EMEA region.
Skills, Knowledge & Expertise
REQUIRED EDUCATION AND QUALIFICATIONS
Education Level:
- Have a broad understanding of all aspects of commercial law and solid international experience.
- Excellent written and spoken communication skills, proven ability to manage external counsel and internal clients.
- Strong commercial awareness and the ability to deal with problems in a pragmatic and logical way
Qualifications:
- Locally qualified lawyer with minimum 3 years PQE experience from major firms / brands and relevant company experience.
REQUIRED SKILLS AND COMPETENCIES
- Excellent written, oral, and interpersonal skills. English language is essential, other languages are an advantage.
- Have excellent negotiation skills, a good attention to detail and proven drafting ability.
- Confident and articulate with strong commercial instincts.
- Able to develop solutions to complex legal questions.
- Able to work under pressure and deliver results.
- Highly self-motivated and directed.
