For example, the function prepares for future risks and opportunities and protects Shell’s reputation and businesses from existing and emerging risks, balances business value and risk and, where necessary, intervenes to ensure compliance with Shell’s Business Principles and Code of Conduct.
Purpose of Role
The purpose of this role is to provide legal support to Low Carbon Solutions (LCS).
LCS (comprising numerous lines of business including Carbon Capture & Storage, Hydrogen, Biomethane, Low Carbon Fuels, Shell Ventures, Aviation and Marine). LCS is a growing and fast-evolving business which presents exciting opportunities to contribute to Shell’s energy transition including through the development of first of the kind projects and novel business models.
The role of LSDR/LCS is to provide legal advice, support, and related services to LCS in a proactive, timely, cost-effective, and professional manner with a view to furthering business objectives in support of the Shell Group Strategy, adding value, and protecting shareholder interests.
LSDR/LCS seeks to ensure that legal risks are identified, appropriate alternative structures and strategies are considered, appropriate Shell Legal resources are brought in when appropriate, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles, and the Shell Performance Framework.
LSDR/LCS is responsible for ensuring the wide community of Shell lawyers supporting LCS projects globally are connected and have access to relevant legal developments, global learnings, and central legal support.
LSDR/LCS is responsible for the provision of legal services in relation to M&A transactions, collaboration & project development agreements, offtake & sales arrangements, and corporate deal structures – all with the intent of embracing Shell’s role in the Energy Transition.
What’s the role?
As Legal Counsel, you will be part of a team that consists of lawyers based in London UK, The Hague NL, Houston US, and Calgary Canada. You will also work with a broader community of lawyers from LSDR, IGU, T&S and ADNBD that provides invaluable natural team support to the development and delivery of LCS projects and transactions.
Accountabilities
- Provide legal support for opportunities in the global LCS portfolio.
- Represent Shell vis-à-vis third parties.
- Ensure that legal considerations, including mitigation of legal risks identified, are taken into account in operations, planning activities, contracting, new business/project development, including relations with relevant third parties.
- Apply learnings from LCS to develop Shell Legal precedents for use in the developing markets across the lines of businesses in LCS.
- Ensure optimal use of internal and external legal resources to ensure provision of professional, timely, cost effective and commercial legal advice and support, balancing both risk and value.
- Work with commercial colleagues to develop the legal and commercial structure of the existing business activities and any new business opportunities that arise.
- Engage and collaborate with Shell lawyers globally across the function.
- Collaborate with Shell stakeholders across multiple business and organizational lines.
- Create a positive, proactive culture encouraging high performance and collaboration with a focus on continuous improvement.
- Contribute to the broader Shell Group business, reputational and stakeholder agenda.
- Maximize benefits and minimize risks that could represent any kind of loss to shareholders, while delivering the business objectives.
- Propose strategies and provide legal support that enable safe, efficient, and agile decisions in order to secure competitive advantages.
- Ensure that legal risks are identified, appropriate alternative structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles, and the Shell Control Framework.
- Accountable for protecting Shell’s rights and reputation in all commercial and contractual arrangements.
- Provide advice in connection with, or otherwise participate in, key engagements with regulatory agencies and other stakeholders.
- Protect Shell's interests and enhance Shell's reputation and brand by providing sound legal advice, assisting with negotiations, and drafting legal agreements.
Experience/Qualifications
- Demonstrable track record as a team player.
- Knowledge and experience to quickly identify legal risks.
- Broad experience in dealing with complex regulations and processes.
- Ability to work in a dynamic legal environment.
- Demonstrated experience working on joint ventures, ADNBD transactions and/or project development an advantage but not prerequisite.
- Demonstrable track record as a self-starter comfortable with tackling new areas.
- Ability to think strategically and to appreciate both the immediate and longer-term impacts on the business of different courses of action.
- Strong influencing and facilitation skills.
- Excellent verbal and written communication skills (including experience in legal commercial drafting).
- Excellent problem-solving and decision-making skills.
- Promotes a continuous improvement mindset and challenges self and others to identify and implement opportunities for improvement.
- Ability to adapt and prioritize and work with both internal and external stakeholders with diverse backgrounds.

- Astute risk and reputational management skills.
- Law Degree and professional legal qualification. NL or UK legal qualification a preference but not a pre-requisite.
